1. Definitions
"River DMA" (also "we", "us", or "our") refers to the operator of this website and the provider of the software and services described herein, established in the Netherlands.
"Service" refers to the River DMA website, software, license keys, and all related services.
"User" (also "you" or "your") refers to any individual who accesses or uses the Service.
"License" refers to the digital license key purchased or obtained through the Service.
2. Acceptance of Terms
By accessing or using the Service, creating an account, or purchasing a License, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the Service.
You represent that you are at least 16 years of age. If you are under 18, you confirm that you have obtained parental or guardian consent to use this Service.
3. Nature of the Service
River DMA provides software for educational and research purposes only. The software is designed to demonstrate direct memory access (DMA) techniques and related technology concepts.
You acknowledge and agree that:
- The software is provided strictly as an educational tool and technology demonstration.
- You are solely responsible for how you use the software and for ensuring your use complies with all applicable laws, regulations, and third-party terms of service.
- We do not endorse, encourage, or condone the use of our software to violate any laws or third-party agreements, including but not limited to the terms of service of any game or online platform.
- Any use of the software that violates applicable laws or third-party agreements is done entirely at your own risk and responsibility.
4. Accounts
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate and complete information during registration.
- Keep your login credentials confidential and secure.
- Notify us immediately of any unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behaviour.
5. Purchases & Payments
5.1 Digital Products
All purchases through the Service are for digital license keys. License keys are delivered electronically to the email address associated with your account or provided during checkout.
5.2 Pricing
All prices are listed in euros (EUR) and include applicable taxes where required. We reserve the right to change prices at any time. Price changes do not affect previously completed purchases.
5.3 Payment Processing
Payments are processed through third-party payment providers (including Stripe and PayPal). By making a purchase, you also agree to the terms and privacy policies of the respective payment provider.
5.4 No Refund Policy
Due to the nature of digital goods, all sales are final. Once a license key has been delivered, no refunds will be issued. By completing a purchase, you expressly consent to the immediate delivery of the digital content and acknowledge that you waive your right of withdrawal under Article 6:230p of the Dutch Civil Code (implementing EU Directive 2011/83/EU, Article 16(m)).
If you believe there is an error with your purchase or you did not receive your license key, please contact us and we will investigate.
6. License Terms
- Each License grants you a personal, non-exclusive, non-transferable right to use the software for the duration specified by your plan.
- You may not resell, redistribute, sublicense, share, or transfer your License to any third party unless explicitly authorized as a verified reseller.
- Each License is bound to a single hardware configuration (HWID). Circumventing or manipulating HWID restrictions is prohibited.
- Licenses with an expiration date will cease to function after the expiration date. Lifetime licenses remain valid indefinitely, subject to these Terms.
- We reserve the right to revoke any License without refund if these Terms are violated.
7. Prohibited Conduct
You agree not to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the software.
- Modify, adapt, or create derivative works based on the software.
- Distribute, share, lease, or sell access to the software or your License.
- Use the Service to engage in any illegal activity.
- Attempt to gain unauthorized access to our systems, other user accounts, or any related infrastructure.
- Abuse, harass, or threaten other users or our staff.
- Use automated systems (bots, scrapers, etc.) to interact with the Service.
- Interfere with or disrupt the integrity or performance of the Service.
8. Limitation of Liability
To the maximum extent permitted by Dutch law and EU regulations:
- The Service and software are provided "as is" and "as available" without any warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.
- We are not responsible for any consequences arising from your use of the software, including but not limited to account bans, suspensions, or other actions taken by third-party platforms.
- In no event shall River DMA, its owners, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, however caused.
- Our total aggregate liability to you for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other liability that cannot be excluded under Dutch law.
9. Indemnification
You agree to indemnify and hold harmless River DMA, its owners, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service or software.
- Your violation of these Terms.
- Your violation of any applicable law or third-party rights.
- Any consequences resulting from the manner in which you use the software.
10. Intellectual Property
All content, software, designs, logos, and other materials provided through the Service are the intellectual property of River DMA and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
11. Service Availability
We strive to maintain continuous availability of the Service, but we do not guarantee uptime. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
12. Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein, in accordance with the General Data Protection Regulation (GDPR) and Dutch data protection law (UAVG).
13. Modifications to Terms
We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you via email or a prominent notice on the Service.
14. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
If you are a consumer residing in the EU, you may also be entitled to submit a dispute to the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the economic effect and purpose of the invalid provision.
